Terms of Service
1. The parties and the agreement
These terms govern the subscription agreement between CyberSkjold ApS (CVR [pending registration], "CyberSkjold", "we") and the business customer ("you", "the customer") for access to the CyberSkjold security-awareness training platform. By creating an account you accept these terms on behalf of the company you represent.
2. The service
CyberSkjold provides web-based cybersecurity awareness training, phishing simulations, and related reporting for the customer's employees. New customers may use a 14-day free trial; access after the trial requires an active paid subscription. Content, course library, and features may be updated or extended over time.
3. Price and payment
Pricing follows the published seat-band pricing on cyberskjold.dk at the time of signup, unless a separate written agreement states otherwise. Invoicing is currently handled manually (bank transfer / EAN invoicing for public-sector customers); card payment may be added later. Prices exclude VAT unless stated otherwise.
4. Term and termination
The subscription runs month-to-month (or per the term stated at signup) and renews automatically unless cancelled with at least 30 days' notice before the next renewal. Either party may terminate for material breach not remedied within 14 days of written notice.
5. Data processing
To the extent CyberSkjold processes personal data (e.g. employee names and emails) on the customer's behalf, this happens under the separate Data Processing Agreement, which forms part of this agreement.
6. Liability
CyberSkjold's total liability under this agreement is limited to the fees paid by the customer in the preceding 12 months, except in cases of gross negligence, wilful misconduct, or liability that cannot be limited under mandatory law. CyberSkjold is not liable for indirect losses, including lost profits or lost data.
7. Intellectual property
All course content, software, and materials remain the property of CyberSkjold. The customer receives a non-exclusive, non-transferable right to use the platform for its own employees during the subscription term.
8. Changes to these terms
We may update these terms with at least 30 days' notice for material changes, posted on this page and/or sent by email to the account admin.
9. Governing law and venue
These terms are governed by Danish law. Any dispute not resolved amicably shall be brought before the Danish courts, with Copenhagen City Court (or the competent maritime and commercial court) as the agreed venue.
